1.1. We are delighted that you will be speaking at our Event. This document sets out the terms and conditions applicable to all participants in our Event, as well as our code of conduct for speakers. You accept these terms by speaking at, and attending, our Event.
1.2. In these terms and conditions “Argus”, “we”, “us” and “our” refer to Argus Media, Inc., a Delaware corporation, having its principal place of business at 2929 Allen Parkway, Suite 700, Houston, Texas 77019, and “you” and “your” refer to the individual speaker. An “Event” is the event at which you will be speaking.
2. Argus Pledge
2.1. Argus strives to ensure that its conferences include the best speakers and representatives from across the industry. Argus actively seeks to include a diversity of opinion and background in its panels and presentations. Argus does not discriminate against speakers on the basis of gender, faith, ethnicity, sexual orientation, disability, age or nationality.
3. Speakers at Event
3.1. You must respect all participants at the Event (including other speakers). You must not engage in hate speech, incite violence against any individual or group, or promote terrorism.
3.2. You must not discriminate against, harass or insult any person or group on the basis of gender, faith, ethnicity, sexual orientation, disability, age or nationality.
4. Additional requirements for Chairs
4.1. If you are chairing a panel, we request your assistance in attempting to ensure all participants on the panel comply with the requirements of paragraph 3. Subject to the previous sentence, you should endeavour to allow each of the speakers an equal opportunity to express his or her views.
5. Additional Terms and Conditions
5.1. You must comply with all applicable laws, regulations and requirements (including without limitation health and safety requirements).
5.2. You may not film, photograph or record any part of the Event without our express permission.
5.3. We will use reasonable endeavours to satisfy any access or dietary requirements provided you notify us of such requirements reasonably in advance of the Event. You acknowledge and agree that, due to the nature of the location/venue of the Events, it may not be possible for such requirements to be satisfied.
5.4. You acknowledge and agree that unless otherwise stated views expressed by speakers at the Event do not represent the views of Argus and you should not suggest or imply that your views are the views of anyone else.
5.5. You acknowledge that all materials provided to you by us at the Event (the “Event Materials”), are provided to you on an "as is" basis and we give no warranties, representations or guarantees that the Event Materials are in sequence, accurate, up-to-date or complete or that use of them will meet your particular requirements. Use of the Event Materials is entirely at your risk.
5.6. You acknowledge and agree that, unless otherwise expressly stated, we own all intellectual property and other rights in all Event Materials. You shall not disclose or distribute the Event Materials.
5.7. You shall ensure that any materials provided by you, including any slide presentations, do not infringe any third party’s intellectual property rights. You will provide your materials to us on a timely basis in advance of the Event. You acknowledge that we may require you to amend your materials or presentation either to better suit the nature of the Event or because your materials or presentation do not comply with paragraph 3. Unless otherwise informed by you, we may use your materials for any purpose connected with our business, including providing your materials and any recording of your presentation to conference participants and other third parties.
6. Privacy, Delegate Lists and Use of Argus Apps
6.2. We will use your photograph and biography (as provided by you) to market the Event to potential attendees. We reserve the right to edit your biography in accordance with our house style.
6.3. If you have consented for your business information to appear on the delegate list for the Event (“Delegate List”), you will be given access to the Delegate List. As between you and us, the Delegate List constitutes the confidential and proprietary information of Argus.
6.4. The Delegate List may only be used for networking purposes connected with the Event. In particular but without limitation, you may not:
6.4.1 Disclose the Delegate List to any third party, including another conference participant or any organization or association of which you may be a member; or
6.4.2 Use the Delegate List for marketing purposes or to host or promote your own event.
6.6. Argus (and any entity permitted by Argus) may take photographs and make films and other recordings at the Events and it (and in certain instances, the sponsors of a relevant Argus Event or other entities permitted to do so by Argus) may use, incorporate, and/or publish the photographs, films or other recordings in its advertising and marketing campaigns and in any corporate communications. If you do not wish your image to be used in this way you must notify the event organizer or another member of the Argus team as soon as possible and in any event prior to the end of the Event.
7. Liability and Warranties
7.1. Argus shall not be liable to you for any loss or damage arising in connection with the Event, the Event Materials, or the Argus Apps, or otherwise in connection with this Agreement.
7.2. Nothing in this Agreement shall be construed as limiting the liability of either party for fraud or for death or personal injury caused by that party’s negligence.
7.3. You are fully responsible and liable for any loss or damage howsoever caused by you to property (including for the avoidance of doubt the Event venue) or individuals at an Event.
7.4. It is your responsibility to arrange appropriate insurance cover for travel to and attendance at the Event. You are responsible for safeguarding your own property at the Event.
8.1. This Agreement is governed by the laws of the State of New York. Any dispute or claim arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to any conflict of laws principles thereof. The parties agree that the federal and state courts located in New York, New York shall have exclusive jurisdiction over any suit, action, proceedings or dispute arising out of or in connection with this Agreement.
